Please read these terms before using our website or ordering services from us.

1. About these terms

These terms cover your use of this website and set out the general terms on which we provide our services. Each piece of work is also covered by our quote, proposal, order or service level agreement. If anything in that document conflicts with these terms, that document takes priority.

3. Using this website

  • The information on this website is general and doesn't form an offer or professional advice. Please contact us before relying on it.
  • We aim to keep the website available and accurate, but we don't guarantee that it will always be available, error-free or up to date.
  • You must not misuse the website, including attempting to gain unauthorised access, introducing malicious code, or copying its content in bulk.
  • Links to other websites are provided for convenience. We are not responsible for their content.

4. Intellectual property

The content of this website, and the KazziApps name, logo and app names, belong to us or our licensors. You may view and print pages for your own use, but you may not reuse them commercially without our written permission.

5. Quotes and orders

  • Quotes are valid for 30 days unless stated otherwise.
  • A contract is formed when you accept our quote or proposal in writing, including by email.
  • The scope of work is set out in the quote, proposal or design document. Changes to the scope are agreed in writing and may affect the price and timescales.

6. Fees and payment

  • Invoices are payable within 30 days of the invoice date unless the quote states otherwise.
  • Subscriptions, including hosting, Microsoft 365 licences and support desk contracts, are billed in advance for each monthly or annual period.
  • We may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
  • If an invoice remains unpaid after we've given you written notice, we may suspend the relevant services until it's paid.
  • Prices exclude VAT, which is charged at the applicable rate.

7. Your responsibilities

You agree to give us accurate information, timely access to the people and systems we need, and any content you provide with the rights to use it. Unless backups are included in your service, you are responsible for keeping your own copies of your data.

8. Software and app development

  • Once you have paid in full, ownership of the bespoke work we create specifically for you passes to you, unless we agree otherwise in writing.
  • We keep ownership of our pre-existing tools, code libraries and know-how, and grant you a licence to use them as part of your deliverables.
  • Third-party and open-source components are provided under their own licences.
  • App store approval is decided by Apple and Google. We'll follow their guidelines, but we can't guarantee that an app will be accepted.

9. Hosting, Microsoft 365 and third-party services

Some services are provided through third parties, including 20i for hosting and Microsoft for Microsoft 365 and Azure. Your use of those services is also subject to the provider's own terms. You must not use hosting or other services for unlawful content, spam or activity that harms other users, and we may suspend services where needed to protect security or comply with the law.

10. Support desks

Support hours, response targets and escalation routes are set out in your service level agreement. 24x7 cover applies only where it is included in your contract.

11. Confidentiality and data protection

Each of us will keep the other's confidential information confidential. Where we process personal data on your behalf, we'll do so under a data processing agreement that meets the requirements of UK GDPR. Our privacy policy explains how we handle personal data as a controller.

12. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
  • We are not liable for loss of profits, revenue, data or goodwill, or for any indirect or consequential loss.
  • Our total liability under any contract is limited to the fees you paid us under that contract in the 12 months before the claim arose.

13. Ending a contract

Notice periods are set out in your agreement. Either of us may end a contract immediately by written notice if the other commits a material breach that isn't put right within 30 days of being asked to, or becomes insolvent.

14. If you are a consumer

Our services are mainly provided to businesses. If you are buying as a consumer, nothing in these terms affects your statutory rights.

15. Law and jurisdiction

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
